Licence Store Terms
Last updated: 16 October 2026
These terms apply when you buy a software licence from the Orpyxis licence store for Road Guardian (RGS), Road Guardian Fleet or the EirRoute licence. Please read them with our Refund and Cancellation Policy and Licence Purchase Privacy Notice.
1. Who you are buying from
Eman Curmi, trading as Orpyxis Technologies ("Orpyxis", "we", "us"), a sole trader at 42, Triq it-Tin, Sannat SNT1443, Gozo, Malta. Email: [email protected].
2. Businesses only
The licence store is for businesses and professionals. By buying you confirm that you are buying for your trade, business or profession, and that you can bind the business you name at checkout. If you are, or someone argues that you are, a consumer, nothing in these terms limits any right you have under mandatory consumer law.
These terms are separate from the Road Guardian Finder and Road Guardian Truck apps, which have their own terms. They are also separate from EirRoute Free and EirRoute Plus on the App Store, which Apple bills and refunds under Apple's terms.
3. What you are buying
- A licence key for the product and plan shown on the product page and at checkout, for the number of seats you choose within that plan's limits.
- Seats are fixed when you buy. The current system does not add seats to an existing key. To add seats, buy another licence or email us and we will agree it with you in writing.
- Each product page describes what the product does. We do not promise features that are not described there.
- Road Guardian (RGS) is the licensed Road Guardian platform at rgs.orpyxis.com. Road Guardian Fleet is a separate multi-seat licence that works with it. EirRoute licence covers route building for package dispatch in the Republic of Ireland, and applies only to EirRoute versions that accept an Orpyxis licence key.
4. Prices, payment and tax
- Prices are in euro and are shown without VAT.
- Prices are in euro and shown without VAT. No VAT is charged at present. If VAT becomes applicable, it will be added to later payments, and we will tell you first. VAT will not be added to a payment you have already made.
- You pay by Stripe Checkout, a one-off payment for the licence term. We never see your full card details.
- The licence key is issued after payment is confirmed. You will receive an invoice or receipt for each payment. If you need business details on it, email us at [email protected].
5. How the key works
- The key identifies the licensee, the product, the number of seats and the expiry date.
- The product checks the key with our licence server (license.orpyxis.com) when you activate it and from time to time while you use it. Each device or installation that activates the key takes up one seat. If your seats are full, the next activation is refused. Email us and we will free a seat that is no longer in use.
- If the product cannot reach the licence server, it keeps working for a limited offline period (72 hours on the plans currently offered). After that, it asks to check the key again.
- Your key is shown on the confirmation page after payment. You can also get it later by signing in to the licence portal with a code emailed to the address you used to buy.
6. Your licence
- We grant you a non-exclusive, non-transferable licence to use the product for your own internal business purposes, for the licence term and up to the number of seats you bought.
- You may not: copy, resell, rent, sublicense or share the key or the product outside your business; use more seats than you bought; reverse-engineer or modify the product, except where the law does not allow us to stop you; get round or interfere with the key check; use the product to build a competing product; or use it unlawfully.
- Keep your key secret. You are responsible for use made with your key. If it is lost or leaked, email us straight away. We can revoke it and issue a replacement.
- We keep all rights in the products. You keep all rights in your own data.
7. Term, expiry and renewal
- The licence lasts one year from the date the key is issued, unless the plan says otherwise.
- Renewal is not automatic. We take one payment only. We do not charge your card again unless you choose to buy again.
- When the licence expires, the key stops validating and the licensed product stops working once any offline period ends. To keep using the product, buy a new licence. We do not promise the same price or plan later.
- If we hold your data in the product, you can ask us to export it for 30 days after the licence ends. After that we may delete it, and backups roll off within a further 35 days.
8. Refunds
Because the key is issued straight after payment, we do not refund a change of mind once the key has been issued or activated. You can have a refund in the cases set out in our Refund and Cancellation Policy: the product cannot be activated or does not work as described and we cannot fix it, a duplicate or mistaken charge, or we stop offering the product. Chargebacks are covered there too.
9. Support
Email [email protected]. We aim to reply within 2 working days (Monday to Friday, except public holidays in Malta). That is a target for a first reply, not a time to fix.
10. Availability and changes
- The products depend on the internet, our licence server and third parties such as hosting, maps and data providers, payment providers and app stores. We do not guarantee that they will always be available, uninterrupted or error-free. We may carry out maintenance.
- We may update or change a product. If a change would take away a feature described on its product page during your licence term, we will tell you in advance and the refund rules in section 8 apply.
- We may stop offering a product with at least 60 days' notice. If we do, we will refund the part of your fee for the time left after it ends, worked out by day.
- Maps, routes, locations, ETAs and dispatch suggestions are guidance only. You remain responsible for your own dispatch, operations and safety decisions, and for calling the emergency services (112) where needed. Our products are not emergency services.
11. Data protection
- For personal data that you put into a product (for example job, operator, driver, location or delivery details), you are the controller and we are your processor.
- For your account, billing and licence data, we are the controller. See the Licence Purchase Privacy Notice.
- We process data in a product only on your documented instructions, to provide, secure and support it. Our people with access are bound to confidentiality. We apply appropriate security measures and use only sub-processors, under written terms. Our full privacy notice is available on request at [email protected]. We help you answer data subject requests and meet your security, breach-notification and impact-assessment duties. We tell you without undue delay after we become aware of a personal data breach affecting your data. At the end of the licence, we delete or return your data as set out in section 7, at your choice. We give you the information needed to show we comply and allow reasonable audits. If a product has its own data processing terms, those apply to that product. If you want a signed copy of these terms, email us.
12. Suspension and ending
We may suspend or revoke a key if you seriously breach these terms and do not fix it within 14 days of our notice. We may act at once where there is a security risk, unlawful use or abuse. You may stop using the product at any time, but a refund is available only as set out in section 8.
13. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or for anything else the law does not allow to be limited.
- Otherwise, neither of us is liable for indirect or consequential loss, or for lost profit, revenue, business, goodwill or data.
- Otherwise, our total liability to you for all claims arising in connection with the licence store is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
- Keep your own copies of important data.
14. Other terms
- Changes to these terms: we may update them. A change applies to purchases made after we publish it. For a licence you already hold, we change terms only where the law, security, or a third party's terms require it, and we will give notice by email.
- Whole agreement: these terms, the Refund and Cancellation Policy and any product page description are the whole agreement for licences bought here.
- Transfer: you cannot transfer your licence or these terms without our written consent.
- Events outside our control: neither of us is liable for delay or failure caused by such events.
- If part is invalid, the rest still applies.
15. Governing law and courts
These terms are governed by the laws of Malta, and the courts of Malta have jurisdiction. If you are a business in another EU country, you keep any mandatory rights you have under your local law that cannot be excluded by agreement, and nothing here stops you using a court elsewhere where the law gives you that right. Please contact us first and we will try to settle any problem within 30 days.
